Evernorth, an XRP treasury company backed by Ripple, has filed to register 73.7 million shares for potential resale as its stock continues to struggle following its Nasdaq debut.
The Oct. 30 SEC filing identifies major players in the XRP ecosystem—including Ripple Labs, Arrington XRP Capital, and affiliates of Japan’s SBI Holdings—as key holders whose positions could eventually enter the public market.
This registration comes as Evernorth’s shares have shed nearly 40% of their value from the October 12 debut-day high of $19.39. After hitting a post-merger record closing low of $11.70 on November 2, the stock recovered slightly to $11.98 the next day, remaining roughly 38% below its initial peak.
The sharp decline has drawn additional scrutiny to Evernorth’s ownership structure, which features some of the most prominent institutional backers in the XRP industry.
Evernorth shareholders listed for potential resale of XRPN shares
Maximum Class A shares registered for potential resale by 21 named securityholders in Evernorth’s Oct. 30, 2026 preliminary S-1; holdings data as of Oct. 22. Totals include shares not yet issued that depend on Class C conversion, Company Unit exchange or warrant exercise. Registration effectiveness, ownership limits and transfer restrictions apply. Ripple, Arrington and the Larsen Lam trust are subject to six-month lock-ups, generally until April 9, 2027, subject to exceptions. These are not confirmed or immediate sales.
While the preliminary registration outlines these potential holdings, it does not indicate that any investors have actually sold shares or intend to liquidate their entire positions.
Despite the market pressure, substantial portions of the registered securities remain subject to contractual transfer restrictions established during the company’s merger on October 9. Key participants, including Ripple, the Arrington-controlled sponsor, and entities associated with Ripple co-founder Chris Larsen, have entered lock-up agreements that restrict transfers for six months, generally expiring around April 9, 2027.
At the merger’s closing, approximately 7.04 million issued Class A shares—representing 29.8% of the outstanding Class A shares—were subject to these lock-up restrictions.
Furthermore, the registration encompasses securities that have not yet converted into publicly traded Class A shares. Out of the 73.7 million total shares, roughly 19.1 million are already issued Class A stock, while approximately 31.39 million could become available through Class C share conversions, and another 22.95 million through the exchange or redemption of company units.
These conversions and unit exchanges remain subject to various ownership limits and contractual conditions. Evernorth stated that the registration is intended to satisfy commitments made under agreements related to its business combination, rather than signaling any decisions by shareholders to exit their positions.
The company itself will not receive proceeds from any eventual shareholder resales, except for potential cash from warrant exercises. However, the looming prospect of additional shares entering the market presents a significant challenge for a company already navigating considerable volatility.
In its risk disclosures, Evernorth warned that large-scale shareholder sales—or even expectations of future selling—could further depress its stock price. The company went public holding approximately 473 million XRP, with a strategy focused on expanding its cryptocurrency reserves and increasing XRP holdings per share.
The filing also revealed that about 80% of the predecessor SPAC’s redeemable public shares were redeemed prior to the merger, resulting in a smaller public shareholder base than initially anticipated. The next critical milestone for registered investors will be the expiration of the lock-up restrictions in April 2027, assuming the resale registration becomes effective and other requirements are met.
