Hewlett Packard Enterprise has issued a warrant to Oracle, allowing the purchase of over four million shares at virtually no cost, as reported in a Thursday SEC filing. This arrangement serves as a sales incentive linked to Oracle’s acquisition of HPE networking equipment for AI data centers.

In a July Securities and Exchange Commission filing, HPE disclosed it granted Oracle a warrant to purchase up to 4.2 million shares of common stock at an exercise price of $0.01 per share.

The warrant becomes exercisable in tranches, tied to Oracle’s purchases of HPE networking products for AI data centers, and remains valid through June 2029.

Oracle would pay just $42,000 if it exercises the warrant for all available shares.

The 4.2 million shares hold a market value of roughly $210 million based on recent trading.

HPE shares declined 3% on Thursday afternoon amid investor concerns over the company’s cautious outlook, despite reporting record quarterly revenue and raising its full-year forecast.
