The latest merger proposal in the real estate investment trust (REIT) sector faced investor skepticism on Wednesday. Market participants moved out of Independence Realty Trust‘s (NYSE: IRT) stock following news of a planned combination with residential REIT Centerspace. Independence’s shares fell over 4% during the trading session.
Creating a Large-Scale Residential REIT
Earlier that morning, Independence and fellow residential REIT Centerspace (NYSE: CSR) announced their intention to merge in an all-stock transaction. The companies stated that combining their operations would result in a REIT with approximately $5 billion in pro forma market capitalization and roughly $8.1 billion in enterprise value.

Under the merger terms, Centerspace shareholders will receive 3.8 shares of Independence common stock for each share they currently hold. Independence plans to issue approximately 67.7 million new shares of common stock and common partnership units. Upon completion, existing Independence investors are projected to retain 78% ownership of the combined entity, with Centerspace shareholders holding the remaining stake.
Both companies’ boards of directors have approved the merger agreement, providing strong organizational backing despite remaining contingent on shareholder approval from both REITs. The transaction is anticipated to close by the end of this year.
Typical Acquisition Market Dynamics
As this represents essentially an acquisition scenario, where acquiring companies often experience declining stock prices following deal announcements, Independence’s shares experienced downward pressure post-announcement. Investors appeared concerned about potential share dilution associated with the pending equity issuance, along with transaction-related costs tied to executing such a substantial merger.
Nevertheless, the strategic rationale supports Independence’s position. The merger with Centerspace expands geographic reach into attractive markets including Minnesota and Colorado, strengthening the combined entity’s presence in key residential real estate regions.
