On November 3, 2026, MediWound Ltd. entered into an underwriting agreement with H.C. Wainwright & Co., LLC in connection with a public offering of 1,200,000 ordinary shares, each with a par value of NIS 0.07, at a public offering price of $12.50 per share. Under the terms of the agreement, the underwriter agreed to purchase the shares from the company at a price of $12.09 per share. The offering was expected to close on or about November 5, 2026, subject to customary closing conditions. The gross proceeds to MediWound Ltd. from the offering, including proceeds from the option shares, were expected to be approximately $17.25 million before underwriting discounts and commissions and estimated offering expenses were deducted. The company intended to use the net proceeds primarily for working capital and general corporate purposes.
In accordance with the agreement, MediWound Ltd. agreed to lock-up restrictions through the 60th day following the date of the final prospectus supplement, and its directors and executive officers entered into lock-up agreements for the same period. The company also agreed to reimburse the underwriter for legal counsel fees and expenses of $100,000 and to pay $25,000 for non-accountable expenses and $15,950 for clearing costs. In addition, the company may, in its sole discretion, pay the underwriter a one-time performance bonus of up to $500,000.
