(RTTNews) – Calidi Biotherapeutics Inc. (CLDI), a clinical-stage biotechnology firm, announced on Friday that it received a non-compliance notice from the New York Stock Exchange American LLC concerning deficiencies in its stockholder equity requirements.
The notice, dated September 21, 2026, cites violations of NYSE Listing Rule 1003(a)(ii), which mandates a minimum of $4 million in stockholder equity for issuers reporting net losses in three of the past four fiscal years. The exchange confirmed that Calidi does not qualify for any exceptions to this standard.
The company is required to submit a compliance restoration plan to NYSE American by October 21, 2026. During the review period, the firm may face enhanced oversight, including mandatory quarterly compliance checks. If approved, Calidi must implement its plan in full and achieve the required equity threshold by March 21, 2028. Failure to meet these obligations will trigger delisting proceedings.
CLDI shares closed at $1.13, reflecting a 5.83% decline on the day.
