SEC Chair Paul Atkins Backs CLARITY Act Amid SEC’s Crypto Regulatory Advances
- SEC Chair Paul Atkins addressed public concerns after the agency released a new regulatory framework for crypto assets despite the pending CLARITY Act in Congress.
The Securities and Exchange Commission (SEC) has finalized its proposed regulatory framework for crypto assets targeting securities offerings. The rules introduce a tailored registration regime aimed at streamlining compliance for cryptocurrency investments while prioritizing investor protection.
SEC Chair Paul Atkins affirmed continued support for the Digital Asset Market CLARITY Act currently under congressional review, countering speculation that the agency is circumventing legislative processes to advance crypto regulations. He clarified the SEC is utilizing its statutory authority to modernize securities rules while emphasizing legislative clarity remains critical for long-term stability in the digital asset space.
SEC’s Proposed Crypto Asset Framework
Adopted via seriatim voting during a closed commission session, the new framework permits two-tiered exemptions: $5 million annual offerings over four years or $75 million single-offering thresholds within a 12-month window. Issuers must still submit principles-based narrative disclosures and comply with financial reporting standards for the higher exemption tier.
Provisions include conditional safe harbors for crypto assets once issuers fulfill contractual managerial commitments, alongside pre-emption of overlapping state securities registration requirements. The SEC plans to accept public commentary for 60 days following final rule publication.
SEC Chair Addresses Speculations
Atkins directly responded to criticism regarding the timing of the SEC’s crypto rules, which emerged weeks after the Senate’s CLARITY Act hearing. He defended the agency’s actions as necessary to address urgent market needs while reiterating bipartisan legislative efforts remain the foundation for durable regulatory certainty.
The Chairman reaffirmed his vision to position the U.S. as the global crypto regulatory leader, contrasting with the prior administration’s approach. “Moving forward within our existing mandate allows us to preserve America’s competitive edge in financial innovation while safeguarding investors,” Atkins stated.
