TORONTO — Sherritt International Corporation (“Sherritt” or the “Corporation”) (TSX:S) has issued a formal response to recent actions taken by Kyma Capital Limited (“Kyma”), specifically regarding Kyma’s unauthorized attempt to call a special meeting of shareholders scheduled for September 29, 2026.
Sherritt maintains that Kyma lacks the legal authority to convene a meeting of the Corporation’s shareholders. The Corporation asserts that Kyma’s claim of setting a September meeting date is both invalid and inappropriate, particularly as the Corporation has already scheduled a combined annual and requisitioned special meeting for December 15, 2026. Sherritt is currently evaluating all necessary legal actions to address Kyma’s recent announcement.
Furthermore, Sherritt noted that Kyma is attempting to initiate court proceedings to force a September meeting date—with an initial case conference scheduled for August 19—yet has proceeded to announce a September meeting in direct defiance of the established judicial process.
Top Stories
As previously stated to Kyma, the decision to hold the meeting on December 15, 2026, was based on several critical factors. These include ongoing discussions regarding a potential transaction outlined in a non-binding term sheet with Gillon Capital, LLC, as well as the Corporation’s efforts to appoint an auditor at the upcoming meeting.
Sherritt warned that Kyma’s increasingly aggressive and public campaign against the Corporation risks jeopardizing essential initiatives designed to navigate the significant challenges currently facing the company.
