Adam Back-led BSTR’s proposed public Bitcoin treasury initiative via Cantor Equity Partners I collapsed on August 20, 2025, leaving a $15 million cash obligation intact with two fixed deadlines.
Under the termination agreement, BSTR Holdings (Cayman) is required to pay Cantor Equity Partners I. Blockstream Capital Partners may substitute payment if requested. The first $10 million is due by September 19, 2025, with the remaining $5 million payable by December 1, 2025.
Delays beyond seven days would nullify legal protections for all involved parties, including release agreements and covenant-not-to-sue clauses tied to the Cantor-led structure.
The luxury public structure envisioned in the July 16, 2025 business combination agreement—amended March 25, 2026—has been entirely terminated. Subscription agreements linked to private placements also ceased under their terms.
BSTR maintains its Bitcoin treasury operations independently, including yield-maximizing and alpha-generating strategies. The company cited Bitcoin pricing pressures, market volatility among listed treasury vehicles, and capital-market disruptions as factors shaping its shift away from convertible bonds and preferred equity financing.
