Marvell Technology is expected to face downward pressure on its stock following the announcement of its plan to acquire photonics company Lumentum Holdings, according to an analysis from Bank of America. The bank has downgraded the semiconductor solutions provider from “buy” to “neutral” and significantly reduced its price target from $400 to $225, although this still suggests a 31% potential upside from Monday’s closing price.
“We downgrade MRVL to Neutral from Buy, maintain our estimates, but lower PO to $225 from $400 on potential for extended stock overhang from announced all-stock LITE deal,” analyst Vivek Arya stated in a client note on Monday. “Our concern centers around: 1) Extended regulatory process … including in China, 2) Limited [earnings per share] accretion as $1bn in cost cuts insufficient to offset the ~50% dilution in share-count, 3) Potential customer/channel conflict.”
Marvell shares dropped 13% on Monday after disclosing the massive deal to acquire Lumentum, valued at over $100 billion. This decline follows a broader downward trend for the company, which has seen its stock value fall nearly 12% over the last three months.
In its announcement, Marvell indicated that the acquisition is a strategic move intended to establish the company as a “category leader in AI connectivity.” However, Bank of America suggests that the pending merger is not the only headwind facing the company. Arya noted that the stock could also suffer from a “recent contraction in sector multiples,” pointing out that the Philadelphia Semiconductor Index has declined approximately 19% over the past month.
Bank of America’s outlook diverges from the broader Wall Street consensus. According to LSEG data, out of the 45 analysts covering Marvell, 40 maintain a “buy” or “strong buy” rating, while five recommend a “hold.”
