Key Facts
In a July Securities and Exchange Commission filing, HPE disclosed it granted Oracle a warrant to purchase up to 4.2 million shares of common stock at an exercise price of $0.01 per share.
The warrant becomes exercisable in tranches, tied to Oracle’s purchases of HPE networking products for AI data centers, and remains valid through June 2029.
Oracle would pay just $42,000 if it exercises the warrant for all available shares.
The 4.2 million shares hold a market value of roughly $210 million based on recent trading.
HPE shares declined 3% on Thursday afternoon amid investor concerns over the company’s cautious outlook, despite reporting record quarterly revenue and raising its full-year forecast.
Big Number
108%. This represents the surge in HPE shares since the start of the year, climbing from approximately $24 to over $50 per share.
Key Background
HPE reported record revenue of $12.2 billion in its latest quarter, up 34% year-over-year, fueled by robust AI infrastructure demand. The company elevated its full-year revenue growth outlook to the 34% to 37% range. CEO Antonio Neri emphasized AI as a “multi-year growth driver,” while CFO Marie Myers noted the order backlog reached a record level. The agreement with Oracle centers on HPE’s routing and switching hardware, which is integrated into Oracle’s cloud and AI infrastructure, supporting its expanding AI supercluster initiatives. Concurrently, Oracle achieved record revenue of $67.4 billion in fiscal 2026, with cloud revenues increasing 47% to $9.9 billion in the latest quarter, propelled by over 90% growth in cloud infrastructure and 10% in cloud applications.
