Jyske Bank A/S has entered into a definitive agreement to acquire 100% of the shares of FP Kapital A/S, operating under the Formuepleje brand, the bank announced Wednesday.
The transaction remains subject to standard closing conditions and regulatory approvals, with completion anticipated in the fourth quarter of 2026.
Management expects the acquisition to deliver annual net fee income exceeding DKK 0.2 billion and to become earnings per share accretive beginning in 2028. Integration expenses are projected at approximately DKK 0.1 billion, while net capital consumption is estimated at around 0.1% of the bank’s total risk exposure amount.
The strategic acquisition is designed to accelerate Jyske Bank’s growth in wealth management services and enhance its competitive positioning within the affluent customer segment. The combination will provide Formuepleje with access to Jyske Bank’s broader scale, technological platforms, and comprehensive asset and wealth management infrastructure.
Jyske Bank reaffirmed its 2026 earnings per share guidance of DKK 71-85, representing projected net profit between DKK 4.3 billion and DKK 5.1 billion.
Formuepleje ranks among Denmark’s leading independent wealth management firms, serving approximately 14,000 investors with assets under management totaling roughly DKK 40 billion and employing nearly 100 professionals.
On Tuesday, Jyske Bank shares closed 0.73% lower at DKK 1,088 on the Copenhagen Stock Exchange.
