- Shareholder approval drives Super League’s transition to Superplanet and collaboration with Metaplanet
A shareholder vote leads to Super League’s transition to Superplanet, Metaplanet’s US-listed Bitcoin treasury platform.
In August, Metaplanet Inc. (MPJPY), a Tokyo Stock Exchange‑listed public Bitcoin (BTC) treasury company, submitted a proposal for a major deal with Super League Enterprise, Inc. (SLE), a Santa Monica‑based immersive gaming and media platform. The process opened a shareholder vote on SLE, which subsequently secured sufficient support to advance the strategic merger.
Metaplanet pledged a capital injection of 2,100 BTC alongside $2.5 million to fund the rebranding of Super League into Superplanet.
Metaplanet’s US Expansion Through Superplanet
On Monday, Metaplanet Chief Executive Officer Simon Gerovich announced the company’s U.S. growth via Superplanet. The agreement sees the Santa Monica‑based platform reimagine itself under a new name while also updating its publicly traded ticker to “SUPA.”
Upon completing the deal, Metaplanet will channel capital into the rebranded entity in the form of 2,100 BTC—valuing between $168 million and $174.3 million at current market rates ranging from $80,000 to $83,000 per Bitcoin—and will also contribute $2.5 million.
In return, Superplanet will issue 44.86 million common shares together with 100 shares of Strategic Alliance Preferred Stock and related warrants, representing roughly $3.4 billion in equity capital.
Given Superline’s standing share count of approximately 3 million as of September 29, Metaplanet will command about 93.7 % of Superplanet’s common stock. To reinforce long‑term alignment, Metaplanet’s acquired shares will be subject to a five‑year lock‑up.
Complementary Platforms
Gerovich emphasized that Superplanet and Metaplanet will operate as separate legal entities. Rather than merging, they will function as complementary forces—Superplanet providing the U.S., Bitcoin‑focused treasury capability complementing Metaplanet’s Japanese operations under its exclusive jurisdiction.
The CEO likened the two initiatives to “complementary platforms.” He explained that Superplanet serves as Metaplanet’s conduit for tapping U.S. capital markets, giving the combined entity greater flexibility to raise capital and execute international deployment strategies.
“Building on this partnership alongside Metaplanet Securities in Japan, we now possess complementary platforms in two of the planet’s most consequential capital markets, enhancing our capacity to mobilize global resources while advancing our agenda across Bitcoin treasury, financing, financial products, and asset management,” quoted Gerovich regarding a pivotal milestone. “We are setting a strong foundation for sustained growth.”
Metaplanet’s Bitcoin Portfolio
Metaplanet remains the world’s second‑largest publicly listed Bitcoin treasury firm, overseeing a portfolio comprising roughly 44,000 BTC across its custody wallets.
Industry rankings place the firm directly behind Strategy Robustness (MSTR). That leader holds over 848,000 BTC, a far larger reserve than Metaplanet’s stake, whereas Twenty One Capital—another native Bitcoin asset manager—currently ranks third with 43,514 BTC held.
